Banks’ board members face increasing responsibilities, in a regulatory framework that is becoming more and more complex. To help them grasp a sound understanding of those, our training is structured in two main axes:

  1. the different aspects of the board members social mandate;
  2. the regulatory requirements set for board members in banks (EBA and CSSF).

Part I - The social mandate of board members in banks

  • The obligations of board members;
  • The civil and criminal liability;
  • Payment and taxation of directors’ fees;
  • D&O liability insurance;
  • The specificities of listed companies and fund administrators.

Part II - The regulatory requirements set for board members in banks

  • CSSF guidelines regarding governance of banks;
  • Obligations resulting from the CSSF Circular 12/552 as modified and the EBA directives;
  • Presentation of the organization of the specialized committees of the Board of Directors;
  • The obligations of board members regarding audit and validation of financial statements.

​​Emmanuelle Caruel-Henniaux is a Regulatory and Audit Partner of PwCspecialized in the banking industry. She has more than 25 years of experience in the financial sector in Luxembourg. She has a unique expertise of regulatory requirements applicable to banks and other professionals of the financial sector. She is auditing several banking institutions with subsidiaries and / or branches abroad and other professionals of the financial sector in Luxembourg. 

Pascual Soledad is a lawyer and Senior Manager in MNKS, focusing mainly on mergers & acquisitions and private equity transactions, as well as general corporate work.

She advises mostly international companies, private equity sponsors and management teams in the structuring and financing of international joint ventures, leveraged buyouts and acquisitions, assisting all along the due diligence, structuring and negotiation process. 

​Isabelle Melcion is a Director of PwC and also a member of the "Association Luxembourgeoise des Compliance Officers" (ALCO). Isabelle is in charge of regulatory advice for Banking and Professionals of the Financial Sector (PFS) matters in our Regulatory and Compliance Advisory Services department.  She has more than 18 years of experience in the financial sector in Luxembourg.
